Coremicro Terms & Conditions (Terms of Use)

By accessing or using www.coremicro.com (the “Site”), our customer portal at client.coremicro.com, any other Coremicro online portal, or by placing an order with Coremicro, Inc. (“Coremicro,” “we,” “us,” or “our”) — whether online, offline, by phone, in person, or by purchase order — you agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree, you must not access or use the Services or place orders.

These Terms incorporate by reference our Privacy Policy and our Return & Refund Policy, and may be updated by posting a revised version with a new “Last Updated” date.

1) Agreement to Legal Terms

These Terms form a binding agreement between you (individually or on behalf of an entity) and Coremicro regarding your access to and use of the Site and related services (the “Services”). By continuing to use the Services after a revision is posted, you accept the revised Terms.

2) Our Services

The Services are not intended for use where such use would be unlawful or require registration in that jurisdiction. Users who access the Services from other locations do so on their own initiative and are responsible for compliance with local laws.

3) Intellectual Property Rights

The Services—including source code, databases, functionality, designs, text, graphics, photos, audio, video, and the selection and arrangement thereof (the “Content”)—and our trademarks, service marks, and logos (the “Marks”) are owned by Coremicro or its licensors and protected by law. We grant you a limited, revocable, non-transferable license to access the Services for personal or internal business use. No other rights are granted.

4) User Representations

By using the Services, you represent and warrant that you: (a) have legal capacity and agree to comply with these Terms; (b) are at least 13 years old and legally able to enter binding agreements in your jurisdiction; (c) will not access the Services by automated means; (d) will not use the Services for any unlawful purpose; and (e) will comply with applicable laws.

5) Accuracy of Billing & Account Information

You agree to provide current, complete, and accurate purchase and account information for all purchases and to promptly update your account and other information. We may refuse or cancel any order that appears fraudulent, high-risk, or placed by resellers/distributors.

6) Prohibited Activities

You may not: (a) misuse the Services or interfere with security features; (b) upload malware or engage in scraping; (c) infringe IP rights; (d) harass, abuse, defraud, or impersonate others; (e) collect personal data of other users; (f) circumvent access controls; (g) reverse engineer the Services (except to the extent permitted by law); or (h) use the Services to compete with us or for any revenue-generating endeavor not expressly permitted.

7) User Generated Contributions & License

If you send us ideas, feedback, or other materials (“Submissions”), you grant Coremicro a perpetual, worldwide, royalty-free license to use and share them for any lawful purpose without compensation. You retain ownership of your original content, and you represent that you have rights to submit it.

8) Services Management

We may monitor the Services, remove content, limit access, or modify or discontinue any aspect of the Services at any time to protect our rights and ensure proper functioning.

9) Optional Tools

We may provide access to third-party tools on an “as is” basis without warranties. Your use of such tools is at your own risk and subject to the third-party’s terms.

10) Relationship with Shopify

Coremicro is powered by Shopify. All sales are made directly with Coremicro. You acknowledge Shopify is not responsible for your purchases or for any injury, damage, or loss resulting from products or services purchased from Coremicro.

11) Orders, Verification & Acceptance

All orders are subject to review, verification, and acceptance at our sole discretion. We may request additional documentation to verify identity, payment method, billing/shipping addresses, and delivery details. We may cancel or refuse any order we cannot verify or that presents suspected fraud, abuse, or high risk. Authorizations, holds, or pending charges on credit or debit cards do not constitute acceptance of an order. An order is accepted only when Coremicro confirms it in writing (for example, an order confirmation or shipment notice). If an order is refused or canceled, any pending authorization will be released in accordance with your card issuer’s policies.

11A) Sales by Phone, In-Person, or Purchase Order (PO)

In addition to online purchases, Coremicro accepts orders placed by phone, in person, or by purchase order (“Offline Orders”). By placing an Offline Order, you agree these Terms apply in full, together with any written quote we issue and any supplemental terms below.

1. Order Formation & Acceptance

Offline Orders are offers to buy. An order is accepted only when we send written confirmation (e.g., emailed invoice/acknowledgment) or when we ship. We may require identity, payment, or company verification before acceptance.

2. Payment & Terms

Unless expressly agreed in writing, payment is due at order confirmation. If we extend credit terms (e.g., Net 15/30), invoices are due on the stated due date. Late balances may accrue a finance charge of 1.5% per month (or the maximum allowed by law), plus reasonable collection costs and attorneys’ fees.

3. Purchase Orders

Purchase Orders are accepted subject exclusively to these Terms and our written quote. Any different or additional terms in a customer PO are hereby rejected and shall be of no force or effect unless expressly agreed by Coremicro in a signed writing.

4. Title, Risk of Loss & Delivery

Title and risk of loss pass upon delivery to the carrier (FOB shipping point) or, for will-call, upon transfer to you or your agent. Delivery dates are estimates only.

5. Cancellations & Changes

Offline Orders are not cancellable without Coremicro’s prior written consent. Approved cancellations are subject to a 25% cancellation fee, in addition to any vendor return charges. These remedies are cumulative with all remedies available under the UCC and applicable law.

6. Returns

Offline Orders follow our Return & Refund Policy (e.g., original, unopened packaging within the stated window; prepaid & insured; shipping/handling non-refundable).

7. Card on File / Phone Authorization

If you authorize payment by phone or allow us to store a payment method “on file,” you represent that you are the authorized cardholder/account holder and you authorize Coremicro (and our processor) to charge the order total and any agreed adjustments (taxes, freight, vendor price changes disclosed before capture) to that method.

8. Fraud Prevention

We may decline, hold, or cancel Offline Orders pending verification (e.g., matching billing/shipping, signed authorization, government ID, business documents). We may ship only to verified addresses.

12) Payment Terms, Taxes & Authorizations

Payment is due at checkout unless otherwise agreed in writing. You authorize us and our payment processor(s) to charge your selected payment method for the total order amount (including taxes, duties, and fees). We may cancel or hold orders pending payment verification or if authorization cannot be obtained. Installment or financing options (if offered) are provided by third parties under their terms.

13) Pricing & Availability Disclaimer

We strive for accuracy but errors may occur. We may cancel orders for products listed with incorrect price or information due to typographical, system, or supplier errors, regardless of order confirmation or payment status; if payment was captured, a prompt credit or refund will be issued.

Due to international tariffs, vendor pricing updates, or other factors beyond our control, pricing may change without notice and we may be unable to honor pricing shown at checkout or on confirmations. By purchasing, you acknowledge pricing may be adjusted.

14) Order Changes & Cancellations

Non-Cancelable Without Consent. Customer-initiated changes or cancellations are not permitted unless Coremicro provides prior written consent. If a cancellation is approved for any reason, you agree to pay a 25% cancellation fee to cover costs and losses incurred.

Remedies. These remedies are in addition to any other rights or remedies available to Coremicro under applicable law, including those under the Uniform Commercial Code (UCC) as in effect in the State of California.

15) Returns & Refunds

All returns must comply with our Return & Refund Policy. Unless otherwise stated, merchandise must be in the original, unopened manufacturer packaging and returned within the time frame specified in that policy. Returns must be prepaid and insured. Shipping and handling are non-refundable.

16) Shipping, Title & Risk of Loss

Title and risk of loss pass to you upon delivery to the carrier. Delivery timelines are estimates only. We are not liable for delays due to carriers, customs, weather, or events beyond our control.

17) Warranties

Products are covered by the applicable manufacturer’s warranty (if any). Except as required by law, Coremicro makes no independent warranties beyond those provided by the manufacturer.

18) Modifications & Interruptions

We may change, suspend, or discontinue the Services at any time without notice. Availability may be interrupted for maintenance or unforeseen issues. We are not liable for any loss or inconvenience caused by downtime.

19) Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. If a dispute proceeds in court (as permitted below), the exclusive venue shall be the state or federal courts located in Alameda County, California.

20) Dispute Resolution (Arbitration & Opt-Out)

Informal Negotiations. Before filing, the parties will attempt to resolve any dispute related to these Terms for at least 30 days after written notice.

Binding Arbitration; Class-Action Waiver. Any dispute arising out of or relating to these Terms shall be finally resolved by binding arbitration administered by the International Commercial Arbitration Court under the European Arbitration Chamber in accordance with its rules. Seat: San Francisco, California. Language: English. Governing law: California. No class arbitrations or representative actions.

Opt-Out. You may opt out of arbitration within 30 days of your first use by emailing sales@coremicro.com (subject: “Arbitration Opt-Out”) or mailing Coremicro, Attn: Legal, 2817 Whipple Road, Union City, CA 94587, including your full name and email address.

Exceptions. This section does not apply to claims seeking to enforce IP rights, allegations of theft, piracy, invasion of privacy, unauthorized use, or claims for injunctive relief.

21) Corrections

Information on the Services may contain typographical errors, inaccuracies, or omissions (including descriptions, pricing, and availability). We reserve the right to correct and update at any time without prior notice.

22) Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE SERVICES AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES, ANY HYPERLINKED WEBSITE, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

23) Limitations of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COREMICRO AND OUR OWNERS, DIRECTORS, EMPLOYEES, OR AGENTS SHALL HAVE NO LIABILITY TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, INCIDENTAL, INDIRECT, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFIT, LOST REVENUE, LOSS OF DATA, LOSS OF USE, BUSINESS INTERRUPTION, OR ANY OTHER ECONOMIC LOSS, ARISING OUT OF OR IN CONNECTION WITH THE PRODUCTS WE SELL, THE SERVICES WE PROVIDE, OR YOUR INABILITY TO USE THEM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF ACTION, WILL AT ALL TIMES BE LIMITED TO THE LESSER OF (A) THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM, OR (B) THE ORIGINAL PURCHASE PRICE OF SUCH PRODUCT.

CERTAIN U.S. STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

IN THE EVENT A PRODUCT WE SELL IS DEFECTIVE OR MALFUNCTIONS, YOUR SOLE AND EXCLUSIVE REMEDY SHALL BE LIMITED TO REPAIR, REPLACEMENT, OR REFUND AS PROVIDED UNDER THE MANUFACTURER’S WARRANTY OR OUR RETURN & REFUND POLICY. COREMICRO MAKES NO OTHER WARRANTY, EXPRESS OR IMPLIED, AND SHALL NOT BE LIABLE FOR ANY DAMAGES OR LOSSES RESULTING FROM A DEFECTIVE OR NONCONFORMING PRODUCT BEYOND THOSE REMEDIES. ALL SUCH CLAIMS ARE LIMITED TO THE PRODUCT ITSELF AND DO NOT EXTEND TO CONSEQUENTIAL OR INCIDENTAL DAMAGES.

24) Indemnification

You agree to defend, indemnify, and hold harmless Coremicro and its affiliates and personnel from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your breach of these Terms, your infringement of third-party rights, or your harmful acts toward other users.

25) User Data

We may maintain certain data you transmit to the Services for performance and operational purposes. You are responsible for backing up your data. We are not liable for any loss or corruption of data.

26) Electronic Communications, Transactions & Signatures

Visiting the Services, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that electronic signatures and records satisfy any legal requirements for writings and signatures.

27) Third-Party Links

Third-party websites or resources linked from the Services are provided for convenience only and are subject to their own terms. We are not responsible for their content or practices.

28) Privacy

Your use of the Services is subject to our Privacy Policy. Shopify may process certain data in order to operate its platform; see Shopify’s policies for details.

29) Accessibility

30) Severability

If any provision is unlawful, void, or unenforceable, it shall be severed and the remainder shall remain in full force and effect.

31) Miscellaneous

These Terms and the policies referenced herein constitute the entire agreement between you and Coremicro regarding the Services. No agency, partnership, joint venture, or employment is created by your use of the Services. We may assign our rights and obligations without notice. Our failure to enforce any right is not a waiver.
