1. Our Services

Except as expressly stated, nothing grants you a license or right under Coremicro, Shopify, or third-party intellectual property.

Coremicro’s names, logos, product names, and designs are trademarks of Coremicro. Shopify’s name, logo, and designs are trademarks of Shopify. All other trademarks are owned by their respective owners.

3. User Representations

By using the Services, you represent and warrant that: (1) you have the legal capacity to comply with these Terms; (2) you are at least 13 years old; (3) you will not use automated means to access the Services; (4) you will not use the Services for unlawful purposes; and (5) your use complies with all applicable laws.

4. Accuracy of Billing and Account Information

You agree to provide accurate, current, and complete purchase and account information for all purchases made at our store and promptly update any changes. We reserve the right to refuse or cancel any order that appears fraudulent or is placed by resellers or distributors.

6. User Generated Contributions

By submitting content or feedback, you grant us a perpetual, worldwide, royalty-free license to use it for any lawful purpose. You retain ownership of your contributions.

You grant us the right to use any feedback or suggestions you submit without compensation or obligation.

We may monitor the Services to ensure compliance, remove unlawful content, and maintain operational integrity.

9. Optional Tools

We may provide access to third-party tools “as is” without warranties. You assume all risk in using such tools.

10. Relationship with Shopify

Coremicro is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Coremicro. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Coremicro, including any injury, damage, or loss resulting from purchased products and services. You expressly release Shopify and its affiliates from all claims related to your purchases and transactions with Coremicro.

11. Privacy Policy

All personal information we collect is subject to our Privacy Policy and Shopify’s Privacy Policy. Shopify may collect and process personal data about your use of our Services to provide and improve its platform. Data you submit may be transferred internationally. We are not responsible for third-party websites or their content. Accessing such sites is at your own risk.

We may suspend or terminate your access if you violate these Terms or applicable law, without liability to you.

These Terms shall be governed by the laws of the State of California. Any disputes shall be resolved in Alameda County, California.

16. Dispute Resolution & Arbitration

All disputes shall be resolved through binding arbitration in San Francisco, California. You waive any right to a jury trial or class action. You may opt out of arbitration within 30 days of your first use by emailing sales@coremicro.com with “Arbitration Opt-Out.”

We reserve the right to correct errors or inaccuracies without prior notice.

18. Disclaimer

Our Services are provided “as is” and “as available,” without warranties of any kind, either express or implied.

19. Limitations of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO CASE SHALL COREMICRO, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICES OR PRODUCTS PURCHASED, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT OR SERVICE.

You agree to indemnify, defend, and hold harmless Coremicro, Shopify, and their affiliates from any losses, damages, liabilities or claims, including legal fees, arising out of (1) your breach of these Terms, (2) violation of law, or (3) your misuse of the Services. We may control the defense of such claims but will not settle any matter requiring your non-monetary obligations without your consent.

26. Pricing and Availability Disclaimer

We strive for pricing accuracy. However, errors or vendor price changes may occur. We may cancel orders placed at incorrect prices. If payment has been processed, we will issue a refund.

Due to international tariffs or vendor price changes, we may be unable to honor the pricing in your order confirmation. By placing your order, you agree to such adjustments if required.
